EULA generator

Draft an end-user licence agreement for software: how many devices or users a licence covers, what is not allowed, ownership, updates, refunds, warranty and a governing law you choose. A template, not legal advice.

This is a template assembled from the answers you gave. It is information, not legal advice, and no lawyer has reviewed it. Laws differ by country, state and industry, and requirements that apply to you may be missing from it. Have it reviewed by a qualified lawyer for your own jurisdiction and circumstances before you rely on it.

Street, city, postcode, country — plus a tax number, email or phone if the document needs one.

The country or state whose law governs, and where disputes are heard.

What it covers

The licence grant (non-exclusive, non-transferable, per device or per user), the usual restrictions (no sharing keys, no resale, no reverse-engineering except where the law allows it), ownership, updates and support, refunds, a warranty and liability clause that says what cannot be excluded, and termination. Consumer law in many countries overrides parts of any EULA; the document says so.

Questions

Do I need a EULA?

If you sell software, a EULA sets out what buyers may do with it. Whether it is enforceable, and how it must be presented, depends on where you and your customers are.

Can a EULA forbid reverse-engineering?

Only as far as the law allows. Some countries permit it for interoperability regardless of the agreement, and the template says so.

What is the difference between a EULA and terms and conditions?

A EULA licenses software to the person using it; terms and conditions govern use of a website or service.

Is this compliant with my local law?

This tool cannot tell you. Have a lawyer for your jurisdiction review it.
